Acquisition Criteria
Nyota Global Holdings is a diversified holding and acquisition company. We acquire established, cash-flowing businesses across a range of industries and hold them for the long term. The criteria below describe the kinds of opportunities we pursue. They are guidelines, not rigid rules — we evaluate each business on its own merits and will consider strong opportunities that fall outside these parameters.
Industry Focus
We are broadly industry-agnostic and focus on the quality of the business rather than any single sector. We prioritize companies with:
- Durable demand for their products or services
- Dependable or recurring cash flow
- Understandable, well-run operations
- An established customer base
- Defensible market positions
- Clear opportunities for long-term growth
Industries of particular interest
Rather than limiting ourselves to a fixed list, we remain open to opportunities across many sectors, including:
- Service businesses
- Distribution
- Light manufacturing
- Business services
- Specialty companies
- Real-estate-related operating businesses
- Other established, cash-flowing companies where the economics and management structure make sense
Industries we do not pursue
- Highly speculative or pre-revenue businesses
- Ventures dependent on a single regulatory loophole or a transient market condition
Business Size and Stage
- Revenue: A target range of $500,000 to $10,000,000 in annual revenue. This is a flexible guideline rather than a hard requirement — smaller or larger opportunities may be considered where the fit is right Proposed — owner to confirm/edit
- Profitability: Positive cash flow with a demonstrable path to sustainable margins. We consider businesses in transition when the underlying economics are sound
- Operating history: Established businesses with a track record. Generally three or more years of operating history is preferred, though not an absolute requirement
- Size flexibility: We consider smaller businesses with exceptional characteristics and larger transactions where the opportunity warrants
Geography
- Primary focus: United States
- International: We are open to international opportunities where the structure and economics make sense and are compatible with long-term holding ownership
Financial Profile
We look for businesses with:
- Reliable and verifiable financial records — such as tax returns, profit-and-loss statements, balance sheets, bank statements, and accounting records. Audited or reviewed financial statements are welcome but not required
- Clean revenue recognition — no aggressive accounting or one-time inflations
- Gross margins that support the business model sustainably
- Owner earnings (SDE/EBITDA) that reflect the true cash-generating capacity of the business
- Minimal dependency on the owner's personal capital or personal guarantees
- Reasonable working capital requirements
Deal Structure Preferences
- Transaction type: We remain flexible on structure. We may pursue 100% acquisitions, majority acquisitions, or other control structures depending on the opportunity and the seller's goals
- Financing: We may use buyer equity, conventional bank financing, SBA financing where applicable, seller financing, earn-outs, or other prudent acquisition structures. Our emphasis is on maintaining sustainable debt service and protecting the acquired company's cash flow
- Seller involvement: We welcome sellers who wish to stay involved during a transition period. We do not require it
- Earn-outs: We consider earn-out structures where they align both parties around future performance and reduce uncertainty
- Timeline: We move with discipline rather than to an arbitrary clock. Transaction timing depends on deal complexity, financing, due diligence, and the parties involved
What We Do Not Do
- We do not acquire to flip. Every acquisition is made for long-term ownership.
- We do not burden acquired businesses with a capital structure their cash flow cannot safely support.
- We do not fire management teams as a matter of course. We invest in the people who built the business.
- We do not pursue hostile transactions or distressed asset firesales.
- We do not act as a broker, finder, or intermediary for other buyers.
